Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a purported representative capacity.

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent, or if such modification is not possible, it shall be severed from these Terms.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by us on the Site, constitute the entire agreement between you and Prairie Ventures LLC concerning the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us.

Assignment

Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of North Dakota, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the state and federal courts located in North Dakota for the purpose of litigating all such claims or disputes, except as provided in the Dispute Resolution and Arbitration section above.
